Edumize Services Sdn. Bhd. Terms of Service
(Education Support, Processing & Coordination Services)
IMPORTANT NOTICE
These Terms are intentionally comprehensive, technical, and legally structured. Acceptance constitutes a binding agreement enforceable under Malaysian law.
1. PARTIES, REPRESENTATION & ACCEPTANCE
These Terms of Service (“Terms”) constitute a legally binding agreement between:
Edumize Services Sdn. Bhd., [Company No: 202301004772 (1498691-D)] (hereinafter referred to as “Edumize”) a company incorporated in Malaysia and having its business address in No. 5A, Jalan Mutiara 1/10, Taman Mutiara Mas, 81300 Skudai, Johor, Malaysia, of ONE PART,
AND
• The Student, being the individual whose education-related application is processed;
• Where applicable, the Parent or legal guardian of the Student;
• Where applicable, any Authorized Person acting on behalf of the Student, including but not limited to sub-agents, representatives, or intermediaries.,
of the OTHER PART.
Acceptance of these Terms by any of the above parties shall be deemed acceptance by all.
Electronic acceptance via digital form, checkbox, or electronic submission shall constitute valid and binding consent equivalent to a handwritten signature.
2. DEFINITIONS
For the purpose of these Terms, the following definitions apply:
1. “Authorized Person” means any person acting on behalf of the Student, including but not limited to a Parent, legal guardian, sub-agent, representative, or intermediary.
2. “OL” means Offer Letter, conditional offer, admission offer, or any equivalent institutional issuance confirming eligibility or admission.
3. “Services” means the education support, coordination, facilitation, and processing services provided by Edumize, whether free, paid, bundled, or conditional.
4. “Exposure” means any situation where Edumize becomes commercially, operationally, financially, legally, or reputationally at risk, engaged, or responsible in connection with the Student’s case. Exposure includes, without limitation:
o submission of applications through institutional/agent portals;
o creation of institutional application records;
o issuance of an OL to Edumize or through Edumize’s portal access;
o initiation of visa, embassy, NOC, or special requests processing;
o handling, facilitating, sequencing, or receiving any payment (whether for Edumize or for third parties);
o commitment of Edumize resources (staff time, coordination, processing, third party liaison) beyond consultation;
o commission eligibility being triggered, conditioned, reduced, delayed, or placed at risk; and/or
o risk of commission loss or clawback by any institution for any reason attributable to Student conduct, conditions fulfillment or institutional policy.
3. SCOPE OF SERVICES
Edumize provides education-related support, coordination, and facilitation services, which may include some or all, without limitation:
• Application and Offer Letter (OL) coordination
• Visa application facilitation
• Embassy, NOC, and special requests processing
• Payment facilitation
• Accommodation coordination
• Pre-arrival and arrival support
• Post-arrival support
Edumize does not guarantee:
• Admission approval
• Visa approval
• Processing timelines
• Fees stability by universities or language institutes at all times.
• Decisions by universities, institutions, immigration authorities, accommodation management/landlords or embassies
All such decisions remain solely with the relevant third parties.
4. COMMISSION-BASED SERVICE MODEL
The Student, Parent, and Authorized Person acknowledge that:
1. Edumize primarily operates under a commission-based model, where compensation is payable by institutions only upon fulfilment of specific enrolment and payment conditions.
2. Commission eligibility is entirely dependent on the Student’s timely cooperation, payment, and compliance.
3. Any commission arrangements between Edumize and institutions confer no rights or entitlements upon the Student, Parent, or Authorized Person.
5. FREE CONSULTATION, VARIABLE SERVICE COVERAGE, ADDITIONAL FEES & COMMISSION RISK
The Student, Parent, and Authorized Person expressly acknowledge and agree that:
5.1 Free Consultation
Initial consultation, general guidance, and preliminary information provided by Edumize prior to any application submission are generally provided free of charge, subject to the good-faith and non-abusive use provisions set out in these Terms.
5.2 No Universal Free-Services Model
Not all universities, institutions, programmes, or student cases fall within a fully commission funded or “free-services” model.
Accordingly, Edumize does not represent, warrant, or guarantee that services beyond initial consultation shall be provided free of charge.
5.3 Variable Commission, Drop-Out & Clawback Risk
The Student, Parent, and Authorized Person acknowledge that:
• Certain institutions pay low, conditional, delayed, reduced, or no commission to Edumize;
• Some institutions condition commission eligibility on:
o Actual registration and commencement of studies;
o Continuous enrolment through a specified academic period (including, without limitation, the first semester); or
o Ongoing student attendance and academic status;
• Scholarships, discounts, fee waivers, or special arrangements granted to the Student may reduce or eliminate Edumize’s commission; and
• Student withdrawal, drop-out, deferment, suspension, or termination, whether occurring:
o After Offer Letter issuance,
o After visa approval,
o After arrival in Malaysia, or
o Even after university registration,
may revoke, invalidate, or require refund (clawback) of commission already paid or claimed by Edumize.
5.4 Right to Charge or Recover Service Fees
In light of the above, and where Exposure exists or commission is insufficient or at risk, Edumize reserves the right to:
• Charge additional service fees;
• Charge fees at any stage, including but not limited to:
o Application submission (Offer Letter);
o Visa processing;
o Embassy, NOC, or special requests processing;
o Airport reception and pick-up;
o Accommodation arrangement or setup;
o Post-arrival registration, onboarding, or institutional processes; and
• Recover or impose service fees where Student actions result in:
o Loss of commission eligibility; or
o Commission clawback by the institution.
5.5 Student Responsibility for Commission Loss
The Student, Parent, and Authorized Person expressly accept that:
• Edumize shall not bear financial responsibility for commission loss or clawback caused by Student conduct or institutional policy affecting the Student;
• Such loss may give rise to:
o Additional service fees;
o Fallback service fees; or
o Recovery claims,
as provided under these Terms.
6. STUDENT COOPERATION OBLIGATIONS
The Student, Parent, and Authorized Person jointly and severally undertake that the Student shall at all times:
• Provide accurate, complete, and truthful information
• Comply with all deadlines
• Make required payments in full and on time
• Provide official proof of payment upon request
• Cooperate fully throughout all stages
Failure to do so shall constitute a material breach of these Terms.
7. FALLBACK SERVICE FEE & LOSS OF COMMISSION
Where, due to the actions or omissions of the Student, Parent, or Authorized Person (including delay, refusal, withdrawal, non-cooperation, misrepresentation, or misconduct) at any time after acceptance of these Terms, Edumize:
• Loses commission eligibility; or
• Suffers financial, operational, or reputational Exposure,
Edumize reserves the right to impose a fallback service fee, assessed at Edumize’s discretion based on services rendered.
Such fee shall be:
• Independent of university or institutional fees
• Non-refundable
• Immediately payable upon written demand
8. PAYMENTS, BUNDLED FEES & DISCLOSURE
Where Edumize handles payments (including visa, embassy, NOC, or special requests processing):
• Fees may be charged as bundled amounts
• Edumize is not obligated to disclose internal fee breakdowns
• payment channels may vary due to operational, compliance, institutional, or procedural considerations.
All payments processed are final, subject only to third-party refund policies (where applicable) and the Edumize Refund Policy as incorporated herein.
9. PAYMENT TIMING, METHOD & COMPLIANCE WITH INSTRUCTIONS
The Student, Parent, and Authorized Person acknowledge and agree that:
1. All payments, whether payable to Edumize or to any third party (including universities, institutions, embassies, or other authorities), must be made strictly in accordance with Edumize’s written instructions, including but not limited to:
o Payment amount
o Payment timing
o Payment method
o Designated recipient
2. Edumize reserves the right to determine, modify, or sequence payment instructions based on operational, institutional, regulatory, or procedural requirements, without obligation to justify such determination.
3. Any payment made:
o Outside the instructed timeframe,
o Via an unauthorized method, or
o To an unauthorized recipient,
shall be deemed non-compliant, and Edumize shall bear no responsibility for delays, rejections, commission loss, or adverse outcomes arising therefrom.
4. Failure to comply with Edumize’s payment instructions shall constitute a material breach of these Terms and may result in:
o Immediate suspension or termination of services;
o Loss of commission eligibility;
o Imposition of fallback service fees; and
o Student Liability for any resulting losses or Exposure suffered by Edumize.
10. ELECTRONIC COMMUNICATIONS, WHATSAPP & CONTRACTUAL VALIDITY
The Student, Parent, and Authorized Person expressly acknowledge and agree that: 1. Electronic communications, including but not limited to:
o WhatsApp messages
o Emails
o Online forms
o Digital confirmations
shall constitute valid, binding, and enforceable communications for all purposes relating to these Terms and the services provided by Edumize.
2. Any statement, confirmation, instruction, consent, or acknowledgment transmitted via WhatsApp or other electronic platforms shall be deemed to constitute:
o A valid offer,
o A valid acceptance, and
o A legally binding agreement,
equivalent to written and signed documentation, to the fullest extent permitted under Malaysian law (including the Contracts Act 1950 and applicable electronic transactions legislation).
3. The Student, Parent, and Authorized Person waive any right to challenge the authenticity, admissibility, or enforceability of such electronic communications on the grounds that they were:
o Not physically signed;
o Informal in nature; or
o Transmitted via messaging applications.
4. Records, screenshots, exports, or logs of such communications maintained by Edumize shall be prima facie evidence of the contents, timing, and existence of communications and instructions.
11. INCORPORATION BY REFERENCE OF PUBLIC POLICIES
The Student, Parent, and Authorized Person expressly acknowledge, confirm, and agree that acceptance of these Terms shall constitute full, unconditional, and irrevocable acceptance of the following policies, which are publicly available on Edumize’s official website and are hereby incorporated into these Terms by reference as if fully set out herein:

2. Refund Policy
3. Terms and Conditions
Such policies, as may be updated, amended, or replaced from time to time, shall apply automatically without requirement of further notice, acknowledgment, or consent.
The Student, Parent, and Authorized Person confirm that:
• Access to the above policies was reasonably available prior to acceptance of these Terms;
• Failure to read, review, or understand such policies shall not affect their enforceability;
• No reliance has been placed on any verbal explanation, summary, or representation inconsistent with such policies.
In the event of any inconsistency between these Terms and the above-referenced policies, Edumize’s interpretation shall prevail, and Edumize reserves the right to determine the applicable provision at its sole discretion, subject to governing law.
12. DEFERMENT, RE-APPLICATION & REPROCESSING
The Student acknowledges that:
• Delays or deferments may require re-issuance of Offer Letters
• Reprocessing may incur additional requirements, documentation, and fees;
• Where the Student delays progression to the next stage (including visa initiation) such that additional processing, monitoring, follow-ups, or re-submission becomes necessary, Edumize may impose an administrative reprocessing fee
For avoidance of doubt, Edumize may charge up to RM450 of Re-Application Fee for each deferment/reprocessing cycle, calculated per delayed period of up to four (4) months, commencing from the first application term submitted, where such delay requires continued resource commitment or repeated processing actions by Edumize.
13. ACCOMMODATION DISCLAIMER
Where accommodation assistance is provided:
1. Edumize acts solely as a facilitator and coordinator unless expressly stated in writing that Edumize is acting as landlord or accommodation manager for a specific Edumize managed unit.
2. Where the accommodation is provided by third-party landlords, property managers, or accommodation operators, the Student’s tenancy obligations (including rental term, notice, deposits, and penalties) arise strictly under the third-party’s tenancy terms, and Edumize does not guarantee or assume landlord obligations.
3. Shared accommodation may involve shared financial responsibility with other tenants; the Student acknowledges that early exit or cancellation may impose financial consequences under third-party tenancy terms and/or shared-tenant arrangements.
4. Student acceptance of accommodation arrangements and tenancy commitments may be evidenced by payment of initial fees and/or written confirmation via electronic communications.
5. Any early exit risks, penalties, or financial exposure arising from third-party tenancy terms or shared arrangements shall be borne exclusively by the Student.
14. AGENT-LOCK UNIVERSITIES & AGENT CHANGE
The Student, Parent, and Authorized Person acknowledge that:
• certain institutions assign agents upon application submission;
• application submission may occur for the purpose of obtaining OL, assessing eligibility, or progressing institutional requirements;
• agent-change requests are governed solely by institutional policies and timelines;
• Edumize has no liability for institutional acceptance or rejection of agent-change requests.
Where the Student requests Edumize assistance in relation to an agent-change request (including drafting, communication, follow-up, or administrative processing), such assistance is discretionary and may be subject to charges determined by Edumize.
15. DEFAMATION, NON-DISPARAGEMENT & CONDUCT
The Student, Parent, and Authorized Person expressly acknowledge and agree that they shall not, at any time:
• make false, misleading, defamatory, or disparaging statements concerning Edumize (whether written or oral);
• publish, circulate, communicate, or facilitate harmful, inaccurate, or damaging content relating to Edumize via any medium, including anonymous, pseudonymous, proxy, or third-party posting;
• encourage, induce, incite, or indirectly cause third parties to act against Edumize’s reputation, business interests, relationships, or operations.
Temporal Scope of Application
This clause shall apply at all times, including but not limited to:
• Before arrival, during consultation, application, visa, or enrolment stages;
• After arrival in Malaysia, including post-arrival registration, accommodation, and onboarding stages;
• During the Student’s period of study, whether actively enrolled, deferred, suspended, or terminated;
• After withdrawal, termination, transfer, or completion of studies; and
• At any time up to five (5) years following the Student’s arrival in Malaysia, including periods where the Student may engage, directly or indirectly, with competing education service providers, employers, or third parties.
This clause expressly covers situations where the Student, Parent, or Authorized Person:
• Seeks refunds or concessions after learning that other students allegedly obtained different, discounted, or alternative arrangements through other agents or companies;
• Engages in defamatory or disparaging conduct motivated by dissatisfaction, comparison with third-party offers, or subsequent commercial relationships with competing entities; or
• Attempts to damage Edumize’s reputation for the benefit of third parties, employers, competitors, or other students.
Consequences of Breach
Any breach of this clause shall entitle Edumize, without limitation, to:
• Immediate suspension or termination of all current and future services;
• Commencement of legal proceedings;
• Claims for damages (including reputational and economic loss);
• Injunctive relief; and
• Recovery of legal costs and expenses.
This clause shall survive termination of any services and shall remain enforceable notwithstanding completion, withdrawal, or cessation of the Student’s engagement with Edumize.
16. SUB-AGENT (AUTHORIZED PERSON) LIABILITY & INDEMNITY
Where an Authorized Person (including a sub-agent) acts on behalf of the Student, the Student, Parent, and Authorized Person agree that obligations under these Terms are joint and several.:
1. The Authorized Person guarantees and is responsible for the Student’s cooperation, responsiveness, payment compliance, and adherence to deadlines.
2. Any non-cooperation, delay, or breach by the Student shall be deemed a breach by the Authorized Person.
3. The Authorized Person shall indemnify and hold harmless Edumize against all losses, claims, liabilities, damages, costs, and expenses arising from the Student’s conduct, including (without limitation):
o Loss of commission
o Financial losses
o Legal claims
o Reputational harm; and
o Administrative and operational costs linked to Exposure.
4. Edumize may recover fallback service fees, damages, and amounts due directly from the Authorized Person and/or the Student, at Edumize’s discretion, without prejudice to any other rights.
17. AGE, CAPACITY & GUARDIAN CONSENT
The Student confirms that:
• All required consent from Parents or legal guardians has been obtained (where applicable);
• Sufficient capacity exists to enter these Terms
• Age or minority status shall not invalidate or limit enforceability
Edumize bears no responsibility for internal family disputes.
18. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Edumize shall not be liable for:
• Third-party decisions
• Indirect or consequential losses
• Loss of opportunity or expectations
Total liability, if any, shall not exceed the fees paid to Edumize.
19. TERMINATION OF SERVICES DUE TO ABUSE OR MISUSE (INCLUDING FREE CONSULTATION) The Student, Parent, and Authorized Person expressly acknowledge and agree that:
1. While initial consultation is generally provided free of charge, such provision is conditional upon good faith, reasonable use, and genuine intent to pursue education related services.
2. Edumize reserves the absolute and discretionary right to suspend, restrict, or terminate any Services (including free consultation) at any time, without notice, where Edumize determines that the Student, Parent, or Authorized Person is:
o repeatedly requesting consultations without genuine intent to proceed;
o using consultation to extract information for third parties or competing agents;
o engaging in excessive, unreasonable, or repetitive requests disproportionate to consultation scope;
o acting in bad faith, misleading manner, or with intent to exploit free services; o abusive, disrespectful, or uncooperative in communications; or
o otherwise taking unfair advantage of Edumize’s resources, time, or expertise.
3. Termination or limitation under this clause shall not give rise to any claim, liability, compensation, or refund obligation on the part of Edumize.
4. Termination is without prejudice to Edumize’s rights to refuse future engagement and to pursue remedies for losses or Exposure incurred.
20. GOVERNING LAW & JURISDICTION
These Terms are governed by the laws of Malaysia. The courts of Malaysia shall have exclusive jurisdiction.
21. ENTIRE AGREEMENT
These Terms, together with all policies incorporated by reference herein, constitute the entire agreement and supersede all prior communications, representations, or understandings, whether written or oral.
